Welcome to TidySync.ai. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and TidySync.ai ("we", "us", "our") governing your use of our AI-powered productivity platform.

By accessing or using TidySync.ai, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our service.

TidySync.ai is an AI-powered productivity and automation platform that offers:

• Email-to-Task Conversion: Automatically transform emails into actionable tasks
• Smart Scheduling: AI-powered due date extraction and calendar integration
• Workspace Collaboration: Team workspaces with shared tasks and projects
• Integration Support: Gmail, Outlook, Google Calendar, Microsoft Calendar
• AI Insights: Smart suggestions, priority detection, and automated workflows

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the service.

Account Creation

To use TidySync.ai, you must create an account by providing accurate and complete information. You may register using:

• Email and password
• Google OAuth authentication
• Microsoft OAuth authentication

Your Responsibilities

You are responsible for:

• Account Security: Maintaining the confidentiality of your login credentials
• Accurate Information: Providing and updating accurate account information
• Authorized Use: Ensuring all activities under your account comply with these Terms
• Notification: Immediately notifying us of any unauthorized access or security breaches

TidySync.ai offers the following subscription plans:

Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. We do not store your credit card information on our servers.

Billing Cycle

• Monthly Plans: Billed on the same day each month
• Annual Plans: Billed once per year with a 20% discount
• Auto-Renewal: Subscriptions automatically renew unless canceled before the renewal date

Failed Payments

If a payment fails:

• We will attempt to charge your payment method up to 3 times over 7 days
• You will receive email notifications about the failed payment
• Your account may be downgraded or suspended if payment is not received

Taxes

You are responsible for all applicable taxes (VAT, GST, sales tax) based on your location. Taxes may be added to your invoice where required by law.

Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• You will not be charged for subsequent billing periods
• You will retain access to paid features until the end of the billing period
• Your account will be automatically downgraded to the Free plan

Refund Policy

After 30 days: Payments are non-refundable. If you cancel after 30 days, you will not receive a refund for the current billing period, but you will retain access until the period ends.

Account Deletion

If you wish to permanently delete your account and all associated data, you may do so from your account settings or by contacting us. This action is irreversible.

You agree to use TidySync.ai only for lawful purposes and in accordance with these Terms. You may not:

• ❌ Violate any applicable laws or regulations
• ❌ Infringe on the intellectual property rights of others
• ❌ Transmit malicious code, viruses, or harmful software
• ❌ Attempt to gain unauthorized access to our systems or user accounts
• ❌ Use the service for spam, phishing, or fraudulent activities
• ❌ Abuse, harass, or threaten other users
• ❌ Reverse engineer, decompile, or disassemble any part of the service
• ❌ Use automated tools (bots, scrapers) to access the service without permission
• ❌ Resell or redistribute the service without authorization

Our Intellectual Property

All content, features, functionality, design, code, graphics, logos, and trademarks on TidySync.ai are owned by us or our licensors and are protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use TidySync.ai for your personal or business productivity purposes. This license does not include:

• Rights to resell, redistribute, or sublicense the service
• Rights to modify or create derivative works
• Rights to use our trademarks without written permission

Your Content

You retain all ownership rights to the content you upload to TidySync.ai (emails, tasks, notes, etc.). By using our service, you grant us a limited license to:

• Store, process, and display your content to provide the service
• Use AI models to analyze and enhance your productivity
• Create backups and ensure data redundancy

We will never sell your content or use it for purposes beyond providing and improving the service.

We do not guarantee that:

• The service will be uninterrupted, error-free, or secure
• The results obtained from using the service will be accurate or reliable
• All bugs or defects will be corrected
• AI-generated insights will always be correct

Limitation of Liability

To the maximum extent permitted by law, TidySync.ai and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data breaches
• Errors in AI processing or task management
• Damages resulting from unauthorized access to your account

Maximum Liability: In no event shall our total liability to you for all damages exceed the amount you paid to us in the 12 months prior to the claim, or $100 USD, whichever is greater.

Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account from the account settings page.

Termination by Us

We reserve the right to suspend or terminate your account immediately, without prior notice or liability, if:

• You violate these Terms or our Acceptable Use Policy
• Your account is involved in fraudulent or illegal activities
• You fail to pay subscription fees
• We are required to do so by law

Effect of Termination

Upon termination:

• Your access to the service will be immediately revoked
• Your data will be deleted within 90 days (unless required by law to retain longer)
• You will not be entitled to any refunds for unused subscription periods (except as specified in Section 6)
• All provisions of these Terms that should reasonably survive termination will continue to apply

We reserve the right to modify these Terms at any time. When we make changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify you via email or in-app notification
• Provide at least 30 days' notice for material changes

Your continued use of TidySync.ai after changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the service and cancel your account.

These Terms shall be governed by and construed in accordance with the laws of Sweden and the European Union, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the use of TidySync.ai shall be subject to the exclusive jurisdiction of the courts of Sweden.

If you are a consumer in the European Union, you also have the right to bring legal proceedings in your country of residence.
